1. Services & Engagement

We provide creative, branding, design, and web development services on a project or retainer basis. Scope, timeline, and deliverables will be agreed in writing (proposal, SOW, or email). Any change to scope may affect pricing and timeline.

2. Project Process & Delivery

We will provide concepts, revisions, and deliverables as per the agreed scope. Final files are delivered upon approval and settlement of outstanding dues. Delivery formats may include source files and exports depending on the package.

3. Payments & Refunds

• Project work typically requires an upfront deposit (e.g., 30–50%) with the balance due upon final delivery.
• Retainer services are billed in advance per billing cycle.
• Refunds are not guaranteed once resource time has been allocated or deliverables have been provided. We will review good-faith refund requests case-by-case.
• Late payments may pause delivery and incur resumption delays.

4. Client Responsibilities

• Provide timely content, feedback, and access required to complete the project.
• Ensure you own or have rights to any materials you supply (e.g., images, fonts, text, brand assets).
• Review and approve milestones promptly to keep the project on schedule.

5. Intellectual Property

Upon full payment, final approved deliverables become the client’s property, excluding third‑party assets and our internal tools, frameworks, or pre‑existing IP. We retain the right to showcase non-confidential work samples in our portfolio unless otherwise agreed.

6. Revisions & Acceptance

Revisions included are specified in the scope. Additional revisions or changes after acceptance may be billed separately. Acceptance of deliverables occurs upon approval or 7 days after delivery if no issues are reported.

7. Liability & Warranties

We deliver services with reasonable care and skill. However, we do not warrant uninterrupted or error-free outcomes. To the maximum extent permitted by law, our liability is limited to the amount paid for the specific services giving rise to the claim.

8. Confidentiality

We treat client information as confidential and use it only for project purposes, except where disclosure is required by law or the information is public.

9. Termination

Either party may terminate with written notice for material breach if not cured within 10 business days. Fees for work performed up to termination remain payable.

10. Governing Law

These Terms are governed by the laws applicable in our principal place of business, without regard to conflict of law provisions.
